1. Introduction

Welcome to the VehiX360 Affiliate Program. These Affiliate Terms of Service ("Agreement") constitute a legal agreement between you ("Affiliate," "you," or "your") and CRESO Holdings LLC, doing business as VehiX360 ("VehiX360," "we," "us," or "our").

By registering for, accessing, or participating in the VehiX360 Affiliate Program, you agree to be bound by these terms. If you do not agree to these terms, do not participate in the program.

2. Program Overview

The VehiX360 Affiliate Program allows approved affiliates to earn commissions by referring new customers to VehiX360's fleet management platform. Affiliates receive a unique referral link and access to marketing materials to promote VehiX360 services.

2.1 Eligibility

To participate in the program, you must:

• Be at least 18 years of age
• Have a valid tax identification number (SSN or EIN)
• Complete the application and KYC verification process
• Agree to these terms and our Privacy Policy
• Not be a current VehiX360 employee or contractor

2.2 Approval

All affiliate applications are subject to review and approval by VehiX360. We reserve the right to accept or reject any application at our sole discretion. Approved affiliates will receive their unique referral code and access to the affiliate dashboard.

3. Commission Structure

3.1 Commission Rates

Affiliates earn commissions based on successful referrals:

• Standard Commission: 10% of the referred customer's first 12 months of subscription fees
• Bonus Tiers: Higher rates may be available based on performance
• One-time Bonuses: Special promotions may offer additional bonuses

3.2 Qualifying Referrals

A referral qualifies for commission when:

• The customer signs up using your unique referral link or code
• The customer completes a trial and converts to a paid subscription
• The customer maintains their subscription for at least 30 days
• The referral complies with all program terms and policies

3.3 Payment Terms

• Minimum payout threshold: $50 USD
• Payment frequency: Monthly (by the 15th of the following month)
• Payment methods: Stripe (direct deposit to your bank account)
• Tax forms: W-9 required for US affiliates; W-8BEN for international affiliates

4. Affiliate Obligations

4.1 Promotional Guidelines

When promoting VehiX360, affiliates must:

• Accurately represent VehiX360 products and services
• Only use approved marketing materials and messaging
• Clearly disclose the affiliate/referral relationship
• Comply with all applicable advertising laws and regulations
• Not engage in spam, unsolicited messaging, or deceptive practices

4.2 Prohibited Activities

Affiliates may NOT:

• Make false or misleading claims about VehiX360
• Use paid search ads bidding on VehiX360 brand terms
• Create fake accounts or self-referrals
• Share referral links in inappropriate or unrelated contexts
• Engage in cookie stuffing, ad fraud, or click manipulation
• Violate any third-party terms of service (social media, advertising platforms, etc.)

5. Intellectual Property

VehiX360 grants affiliates a limited, non-exclusive, non-transferable license to use VehiX360 trademarks, logos, and approved marketing materials solely for promoting VehiX360 services as part of this program. All intellectual property rights remain with VehiX360.

Affiliates may not modify, alter, or create derivative works from VehiX360 materials without prior written approval.

6. Confidentiality

Affiliates agree to keep confidential any non-public information shared by VehiX360, including but not limited to commission rates, conversion data, marketing strategies, and customer information. This obligation survives termination of the affiliate relationship.

7. Term and Termination

7.1 Term

This Agreement begins upon your acceptance and continues until terminated by either party.

7.2 Termination

Either party may terminate this Agreement:

• With 30 days written notice for any reason
• Immediately for breach of these terms
• Immediately for fraudulent or illegal activity

7.3 Effect of Termination

Upon termination, you must cease all promotional activities and remove any VehiX360 materials. Earned commissions for qualifying referrals made prior to termination will still be paid, subject to the normal payment schedule and terms.

8. Disclaimer and Limitation of Liability

THE VEHIX360 AFFILIATE PROGRAM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. VEHIX360 DOES NOT GUARANTEE ANY MINIMUM EARNINGS OR SPECIFIC RESULTS FROM PARTICIPATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEHIX360'S LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE 12 MONTHS PRECEDING ANY CLAIM.

9. Modifications

VehiX360 reserves the right to modify these terms, commission rates, or program structure at any time. Material changes will be communicated via email or dashboard notification at least 30 days in advance. Continued participation after changes take effect constitutes acceptance of the modified terms.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
